These terms cover the website only. Services we deliver are governed by a separate written services agreement, statement of work, or master services agreement. Where those documents conflict with these terms, those documents prevail for the services they cover.

Ownership of work product created during a client engagement is determined by the applicable services agreement, not by these terms.
5. Third-party links and technologies
This site may link to third-party websites and may reference third-party platforms and tools. We do not control those sites or platforms, do not endorse their content, and are not responsible for them. Your use of a third party’s site or service is subject to that party’s own terms.
6. Availability
We aim to keep this site available and accurate, but we provide it on an “as is” and “as available” basis. We may change, suspend, or withdraw any part of it, and may modify these terms, at any time without notice. Continued use after a change takes effect constitutes acceptance of the revised terms.
7. Disclaimer
To the fullest extent permitted by law, we disclaim all representations, warranties, and conditions relating to this site and its content, whether express, implied, statutory, or otherwise — including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

Where liability cannot be excluded, our total aggregate liability arising from your use of this site is limited to one hundred Canadian dollars (CAD $100).
Nothing in these terms limits liability for fraud, fraudulent misrepresentation, or any other liability that cannot lawfully be limited.
9. Indemnity
You agree to indemnify and hold harmless Phildon Technologies Inc. from any claim, loss, liability, or expense (including reasonable legal fees) arising from your breach of these terms or your unlawful use of this site.
10. Governing law and jurisdiction
These terms and any dispute arising from them are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws rules. You submit to the exclusive jurisdiction of the courts of Ontario, sitting in Toronto.
11. General
- Severability — if any provision is held unenforceable, the remainder continues in effect.
- No waiver — our failure to enforce a provision is not a waiver of it.
- Entire agreement — for website use, these terms and the Privacy Policy are the entire agreement between us.
